Terms and conditions governing the use of our website and services.

By engaging Primepath Consultancy and purchasing any of our tax filing packages, the client agrees to provide accurate information, required documents, and timely responses to ensure the successful and compliant completion of the tax return filing process.

TERMS OF SERVICE

Section 1 — Essential Tax Filing

SERVICE SCOPE

Includes preparation and filing of the client’s annual income tax return. Suitable for salaried individuals, freelancers, and small business owners with routine income and standard tax matters.

PROCESSING TIMELINE

48 hours to 5 working days after full payment, complete document submission, and resolution of all queries. | Note: Timelines may extend during peak tax filing seasons.

CLIENT RESPONSIBILITY

The client must provide accurate income details, tax challans, bank statements, salary certificates, wealth statement details, and all relevant statutory documents.

REVISIONS & CORRECTIONS

Errors on our part are corrected at no charge. Client-side errors may attract additional fees.

EXCLUSIONS

Does not include financial advisory, audit reply, FBR notice handling, bookkeeping, or face-to-face consultations unless separately billed.

REFUND POLICY

Non-refundable once work has commenced. Failure to provide documents does not entitle the client to a refund.

DISCLAIMER

The client is fully responsible for the accuracy of all information submitted to FBR. Primepath Consultancy does not guarantee refunds or FBR approval.

Section 2 — Priority Tax Filing

SERVICE SCOPE

Expedited filing placed ahead of the regular queue. Suitable for urgent or time-sensitive cases.

PROCESSING TIMELINE

24 to 48 hours after full payment, complete document submission, and FBR portal availability.

Note: Note: Priority Filing is expedited processing — not a guarantee of completion if documents are delayed or FBR is under maintenance.

REFUND POLICY

Non-refundable once the case has been assigned to the priority team.

DISCLAIMER

Priority Filing does not guarantee a tax refund, reduction, or FBR approval. The client remains solely responsible for all submitted information.

Section 3 — Premium Consultant Filing

SERVICE SCOPE

An elite personal consultation and filing service. Includes tax profile review, Zoom or in-person meeting with a Senior Consultant, optimization of the return, financial guidance, and complete filing.

Accounting & Bookkeeping

Section 1: Scope of Accounting & Bookkeeping Services

Primepath Consultancy provides comprehensive accounting, bookkeeping, payroll, and financial reporting services to clients globally. The exact scope of services—including the frequency of reports, transaction limits, and software integration—will be defined in the client’s selected package or custom service agreement. Services are delivered remotely unless otherwise specified in a formal contract.

Section 2: Client Responsibilities & Information Accuracy

To ensure timely and accurate financial reporting, the client agrees to provide all necessary financial documents, bank statements, receipts, and invoices promptly.

Note: Note: Primepath Consultancy relies on the accuracy of the information provided by the client. We are not responsible for discrepancies, penalties, or compliance issues arising from incomplete, delayed, or falsified information provided by the client.

Timely Document Submission

Clients are expected to submit monthly financial records by the agreed-upon date (typically the 5th of the following month) to ensure reports are delivered on time.

Software Access & Integration

The client agrees to grant Primepath Consultancy secure, read-only access to necessary financial institutions and full access to chosen accounting software (e.g., QuickBooks, Xero, Odoo) to facilitate the bookkeeping process.

Section 3: International Compliance & Jurisdictional Limits

While Primepath Consultancy adheres to International Financial Reporting Standards (IFRS) and Generally Accepted Accounting Principles (GAAP) where applicable, the client acknowledges that tax laws and financial regulations vary by jurisdiction.

Note: Note: Unless explicitly stated in a country-specific Tax Consultancy agreement, our bookkeeping services do not constitute certified tax advice for your specific local jurisdiction. Clients are advised to consult local tax authorities or retain local counsel for final tax filings if they reside outside our core compliance jurisdictions.

Section 4: Data Security & Confidentiality

We take the security of your financial data seriously. All financial records, payroll data, and proprietary business information shared with Primepath Consultancy are treated with strict confidentiality and protected using industry-standard encryption and secure cloud environments.

Non-Disclosure

Primepath Consultancy agrees not to disclose, sell, or distribute your financial data to third parties, except as legally required by international law or with your explicit written consent.

Data Retention

Upon termination of services, we will transfer all financial ledgers back to the client. We retain backup copies of financial records only for the period mandated by our internal compliance policies, after which they are securely destroyed.

Section 5: Billing, Upgrades, & Fair Usage

Our accounting and bookkeeping packages are billed on a recurring monthly retainer basis.

Transaction Limits & Upgrades

Fixed-price packages (such as Starter or Growth) come with predefined monthly transaction limits (e.g., 100 or 500 transactions). If a client’s business volume exceeds these limits for two consecutive months, Primepath Consultancy reserves the right to automatically upgrade the client to the next appropriate tier or issue a custom quote.

Payment Terms

Invoices are issued on the 1st of every month and are due within 7 days. Failure to remit payment may result in a temporary suspension of bookkeeping services until the account is settled.

Section 6: Termination of Services

Either party may terminate the accounting and bookkeeping engagement by providing a 30-day written notice. Upon termination, Primepath Consultancy will complete all reporting for the finalized billing period, provided all outstanding invoices are paid in full. The client will retain full ownership of their accounting software accounts and ledgers.

Financial Advisory

Section 1: Scope of Advisory Services

Primepath Consultancy provides strategic financial advisory services, which may include virtual CFO services, mergers and acquisitions (M&A) advisory, business valuation, financial forecasting, and restructuring advice. The specific scope, deliverables, and timeline of the advisory services will be outlined in a separate Statement of Work (SOW) or engagement letter signed by both parties.

Note: Our advisory services are strictly consultative in nature. While we provide expert recommendations based on thorough analysis, the final decision to execute any business strategy, investment, or transaction remains solely with the client's management and board of directors.

Section 2: Forward-Looking Statements & Risk

Financial advisory inherently involves making assumptions about future market conditions, economic trends, and business performance.

Limitation of Guarantees

Any financial models, forecasts, or projections provided by Primepath Consultancy are estimates based on the information available at the time of the engagement. We do not guarantee specific financial outcomes, investment returns, or the realization of projected cost savings.

Assumption of Risk

The client acknowledges that all business decisions carry inherent risks. Primepath Consultancy shall not be held liable for any financial losses, missed opportunities, or damages resulting from the implementation of our advisory recommendations.

Section 3: Information Accuracy & Client Cooperation

The effectiveness of our financial advisory services depends heavily on the transparency and accuracy of the data provided by the client.

Full Disclosure

The client agrees to provide complete, accurate, and timely access to all financial records, business plans, contracts, and internal data required for Primepath Consultancy to perform our analysis and advisory functions.

Reliance on Client Data

Primepath Consultancy relies on the data provided by the client without conducting an independent audit (unless explicitly engaged to do so). We accept no liability for flawed advisory outcomes stemming from inaccurate, withheld, or misleading information provided by the client or its affiliates.

Section 4: Confidentiality & Conflict of Interest

During an advisory engagement, Primepath Consultancy often handles highly sensitive corporate information, trade secrets, and pending transaction details.

Strict Confidentiality

We are bound by strict non-disclosure obligations. No proprietary information will be shared with external parties, investors, or competitors without the express written consent of the client, except where mandated by law.

Conflict of Interest Policy

Primepath Consultancy maintains a strict conflict of interest policy. We will not advise two directly competing entities on opposing sides of a transaction without full disclosure and written consent from all involved parties. If a conflict of interest arises during an engagement, we will notify the client immediately.

Section 5: Advisory Fees & Retainers

Fees for Financial Advisory services are generally structured as monthly retainers (for ongoing Virtual CFO services) or project-based milestone payments (for M&A, valuations, or restructuring).

Note: Note: Project-based advisory engagements often require a non-refundable upfront mobilization fee before research and financial modeling commence. Any success fees or commission structures associated with capital raising or M&A transactions will be strictly defined in the engagement letter.

Odoo ERP Solutions

Section 1: Scope of ERP Consultancy & Implementation

Primepath Consultancy offers full-cycle Odoo ERP services, including system architecture, customization, module implementation, data migration, and staff training. The specific modules to be implemented, project milestones, and deliverables will be strictly defined in the mutually signed Project Scope Document (PSD) or Statement of Work (SOW) prior to project kickoff.

Note: Note: Any requests for additional features, modules, or customizations outside the agreed-upon Scope of Work will be treated as Change Requests. Change Requests will be estimated separately and may result in additional costs and adjustments to the project timeline.

Section 2: Implementation Timelines & Client Dependencies

A successful ERP implementation is a collaborative effort. While Primepath Consultancy is committed to adhering to the project schedule, timelines are heavily dependent on the client’s prompt cooperation.

Requirement Gathering & Feedback

The client agrees to assign a dedicated Project Manager or core team to work with our consultants. Timely approvals, feedback on prototypes, and participation in User Acceptance Testing (UAT) are required to keep the project on track.

Delays Due to Client Inaction

If a project is delayed by more than 14 days due to a lack of feedback, delayed data provision, or unavailable client personnel, Primepath Consultancy reserves the right to pause the project and reallocate resources. Resuming the project may incur remobilization fees and a revised timeline.

Section 3: Data Migration & System Integration

Transferring legacy data into a new ERP system is a critical phase of the project that requires careful coordination.

Data Cleansing Responsibility

Primepath Consultancy will provide templates for data migration. However, the client is solely responsible for the accuracy, completeness, and cleansing of the legacy data before it is handed over for import into Odoo. We are not liable for errors in the new system resulting from corrupt or inaccurate legacy data.

Third-Party APIs

While we facilitate integration with third-party software (e.g., payment gateways, external CRMs), Primepath Consultancy is not responsible for the uptime, API changes, or limitations of external third-party services.

Section 4: Licensing, Hosting, and Intellectual Property

Depending on the deployment method (Odoo Online, Odoo.sh, or On-Premise), software licensing and hosting responsibilities will vary.

Odoo Enterprise Licensing

Primepath Consultancy facilitates the procurement of Odoo Enterprise licenses. However, the software licensing agreement is ultimately between the client and Odoo S.A. The client is responsible for paying all recurring subscription and hosting fees directly to Odoo S.A. unless a managed hosting agreement is signed with us.

Custom Code Ownership

Any bespoke modules or custom code developed specifically for the client by Primepath Consultancy will become the intellectual property of the client upon full and final payment of all project invoices. Primepath Consultancy retains the right to reuse generalized, non-proprietary code snippets in future projects.

Section 5: Post Go-Live Support & Maintenance

Our implementation projects typically include a standard post go-live hypercare period (usually 14 to 30 days, as defined in the SOW) to address any immediate bugs or usability issues.

Note: Note: After the hypercare period concludes, any further technical support, version upgrades, or new feature developments require an active Annual Maintenance Contract (AMC) or will be billed at our standard hourly consultancy rates.

Warranty Limitations

We warrant that our custom developments will function according to the specifications outlined in the SOW on the current version of Odoo. We do not warrant that customizations will remain functional if the client upgrades the Odoo core version or installs conflicting third-party apps without our supervision.

Business Analysis & Automation

Section 1: Scope of Business Analysis & Automation

Primepath Consultancy provides comprehensive business analysis, process re-engineering, growth strategy formulation, and workflow automation services. The specific goals, Key Performance Indicators (KPIs), reporting dashboards, and automation workflows to be developed will be clearly outlined in the agreed-upon Statement of Work (SOW).

Note: Note: Our goal is to optimize your business processes for maximum efficiency and growth. However, business environments are dynamic; we do not guarantee specific percentage increases in revenue or reductions in operational costs, as these depend heavily on market factors and internal execution by the client's team.

Section 2: Implementation of Process Changes

Business analysis often results in recommendations for significant operational restructuring and process re-engineering.

Advisory vs. Execution

Unless explicitly contracted for full-scale change management and implementation, Primepath Consultancy acts in an advisory capacity. The successful implementation and enforcement of the recommended re-engineered processes and automated workflows rest with the client’s management team.

Employee Training

If our engagement includes setting up new reporting dashboards or automation tools (e.g., Zapier, PowerBI, custom scripts), we will provide standard handover training. Ongoing staff training or troubleshooting beyond the initial handover period may require a separate support agreemen

Section 3: Data Access & Security in Automation

To effectively analyze business performance and build automation workflows, Primepath Consultancy requires access to the client’s internal systems, CRM, and databases.

System Credentials

The client agrees to provide the necessary API keys, system credentials, and read/write access required to build and test automation workflows. We strongly advise the creation of dedicated “Service Accounts” with restricted permissions rather than sharing admin-level personal credentials.

Data Privacy

Any business data processed through our analytics tools or third-party automation platforms is treated with strict confidentiality. Primepath Consultancy is not liable for data breaches occurring on third-party platforms (e.g., Make, Zapier, Microsoft) used to facilitate automation.

Section 4: Maintenance of Dashboards & Workflows

Digital environments change frequently. Third-party software updates can sometimes disrupt automated workflows or dashboard connections.

Note: Note: After the project is delivered and signed off, any future breakdowns in automation workflows caused by third-party API changes, password resets, or software updates by the client are not covered under the initial project scope.

Active Maintenance Contracts

Clients are highly encouraged to retain an active Annual Maintenance Contract (AMC) for ongoing monitoring, repair, and tweaking of automated workflows and analytics dashboards to ensure continuous operation.

Section 5: Intellectual Property

While the data and resulting insights belong entirely to the client, the proprietary analytical models, dashboard templates, and automation scripts developed by Primepath Consultancy remain our intellectual property.

License to Use

Upon full payment, the client is granted a perpetual, non-exclusive license to use the custom dashboards, reports, and automation workflows internally. The client may not resell, distribute, or white-label these specific models or scripts to third parties without prior written consent from Primepath Consultancy.

Business Registration (Pakistan)

Section 1: Scope of Business Registration Services

Primepath Consultancy provides facilitation and advisory services for business registration in Pakistan. This includes registration of Sole Proprietorships, Partnership Firms, Single Member Companies (SMC), Private Limited Companies, and Non-Governmental Organizations (NGOs/NPOs) with relevant authorities such as the Securities and Exchange Commission of Pakistan (SECP) and the Federal Board of Revenue (FBR).

Note: We act strictly as consultants and facilitators to assist you in navigating the legal and regulatory framework of Pakistan. The final approval, issuance of incorporation certificates, and National Tax Numbers (NTN) rest entirely at the discretion of the SECP, FBR, or relevant registrar.

Section 2: Document Submission & Biometric Verification

The successful and timely registration of a business entity requires accurate documentation and compliance with local verification laws.

Required Documentation

he client is responsible for providing valid, unexpired, and legible copies of CNICs/Passports, utility bills, tenancy agreements, and any other documents required by the SECP or FBR. Primepath Consultancy is not liable for delays or rejections caused by forged, expired, or inaccurate documents provided by the client.

Biometric Verification & Physical Presence

Certain registrations, such as FBR IRIS enrollment or bank account openings, mandate biometric verification. The client acknowledges that directors/partners must complete biometric verification via NADRA e-Sahulat centers or relevant mobile applications within the stipulated timeframes. Delays in biometric verification will naturally delay the incorporation process.

Section 3: Name Reservation & Trademarks

Choosing a unique and compliant business name is the first step in company incorporation.

SECP Name Availability

Primepath Consultancy will apply for name reservation with the SECP based on the preferences provided by the client. However, SECP has strict guidelines regarding deceptive, identical, or prohibited names. If the preferred names are rejected, the client must provide alternative names. We are not responsible for delays caused by SECP name rejections.

Trademarks & Intellectual Property

Incorporation of a company under a specific name by SECP does NOT automatically grant trademark rights to that name in Pakistan. Trademark registration with the Intellectual Property Organization (IPO) of Pakistan is a separate service and must be engaged independently.

Section 4: Post-Incorporation Compliance

Once a company is incorporated, it is legally bound to fulfill ongoing compliance requirements with the SECP and FBR.

Note: Note: Unless you have signed an ongoing Annual Compliance or Retainer agreement with Primepath Consultancy, you are solely responsible for all post-incorporation filings.

Statutory Filings

The client is responsible for appointing an auditor, holding Annual General Meetings (AGMs), filing Form A and Form 29, and submitting annual income tax returns. Failure to do so may result in heavy penalties or the striking off of the company by SECP/FBR. Primepath Consultancy is not liable for any penalties incurred due to the client’s failure to maintain statutory compliance after the initial registration is handed over.

Section 5: Government Fees & Taxation

Our quoted fees for business registration typically include our professional consultancy charges and the standard government challan fees required for incorporation.

Changes in Government Fees

Should the SECP, FBR, or any relevant provincial authority (such as PRA, SRB, KPRA) increase their official registration fees or stamp duties during the course of the application, the client will be billed for the exact difference.

Capital Taxation

Fees quoted for Private Limited Companies are generally based on the minimum authorized capital. If the client wishes to register a company with a higher authorized capital, additional SECP filing fees will apply and must be borne by the client.
